TERMS OF USE

Welcome to the Ticker Shorts Terms of Use agreement. By accessing or using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms in their entirety, you must refrain from using the Service and the Platform.

  1. ACCEPTANCE OF TERMS

By accessing or using the Service via the Site or App, you agree to comply with and be legally bound by these Terms of Use. If you do not accept these Terms in full, you are not authorized to access or use the Service.

  1. DEFINITIONS AND INTERPRETATION
  2. Definitions: Capitalized terms used in this Agreement, unless otherwise defined elsewhere, shall have the following meanings:

(a) “App” refers to the Ticker Shorts mobile application, which is owned and operated by Us, and is available for download from Google Play and the App Store, including any updates, enhancements, or modifications thereto.

(b) “App Store” refers to the service provided by Apple Inc. and/or its affiliates, a third party, through which You may download the App.

(c) “App Store Terms and Conditions” refers to the terms and conditions that apply to the use of the App Store, as available at https://www.apple.com/legal/internet-services/itunes/us/terms.html.

(d) “Google Play” refers to the service provided by Google Ireland Limited and/or its affiliates, which You may use to download the App.

(e) “Google Play Terms of Service” refers to the terms of service applicable to the use of Google Play, as available at https://play.google.com/about/play-terms.html.

(f) “Platform” refers collectively to the Ticker Shorts App and Website, including all content, features, and services offered therein.

(g) “Sponsored Content” refers to content distinct from regular editorial content displayed on the Platform, presented in the form of audio, video, text, or image media, which promotes a third-party’s brand message or views. Such content shall be readily identifiable through distinct fonts, colors, display schemes, or disclaiming labels such as “Ad,” “Powered by,” “Sponsored by,” “With,” “Advertorial,” or any similar phrase.

(h) “Service(s)” refers to the features, functionalities, and services made available by Ticker Shorts through the Platform, including but not limited to stock market news, financial insights, analytics, and any other related offerings.

(i) “Ticker Shorts,” “We,” “Us,” or “Our” refers to the entity operating and managing the Platform, including its affiliates, officers, directors, employees, agents, and service providers.

(j) “User,” “You,” or “Your” refers to any person who accesses, registers, or uses the Platform in any manner and agrees to be bound by this Agreement.

(k) “Website” refers to the official website of Ticker Shorts, which provides access to its services, features, and content, as specified by Us.

(l) “Third Party” refers to any entity, individual, or service provider other than Ticker Shorts that interacts with or provides services through the Platform.

  1. Interpretation:
    (a) Any reference to the singular shall include the plural and vice versa, and any reference to one gender shall include other genders, unless explicitly stated otherwise.
    (b) Headings and captions are for convenience only and shall not affect the interpretation of this Agreement.
    (c) Any reference to a natural person shall include his/her heirs, executors, and permitted assignees, while any reference to a juristic person shall include its affiliates, successors, and permitted assignees, unless the context indicates otherwise.
  1. YOUR APPROVAL
  1. By engaging with the Platform, You acknowledge and agree to be bound by this Agreement through any of the following actions:
    (a) Downloading and/or installing the App on Your device; or
    (b) Accessing or using the Platform, including any content available on the App or Website, from any device.
  2. You may accept this Agreement only if:
    (a) You are a natural person who has attained the legal age of consent in Your jurisdiction and are of sound mind to enter into a binding contract with Ticker Shorts pursuant to Your use of the App or Website; or
    (b) You are a juristic person, lawfully incorporated and existing, with all necessary authorizations, permits, and legal capacity to enter into this Agreement and form a binding contract; and
    (c) You are not prohibited under any applicable law from using the App or the Website.
  3. You acknowledge and understand that if You do not agree with, comprehend, or accept the Agreement in its entirety, You must refrain from using the App and the Website. We strongly advise You to carefully read and understand these Terms, along with the Privacy Policy and Disclaimer, before accepting and agreeing to be bound by them.
  4.  PROVISION OF THE PLATFORM
  5. The App and the Website are designed to provide You with an in-app browsing experience through an embedded browser. The Platform aggregates and summarizes third-party content within a single interface, enabling easy access and assisting You in discovering relevant content of interest. Additionally, the Platform may generate and provide AI-driven content, for which the publisher shall not be held liable. The App and Website also facilitate third parties in publishing content for distribution. The Platform does not host, display, or transmit any third-party content on its servers unless We have the necessary license to do so or are otherwise permitted under applicable laws.

When You access a summary of third-party content, a link to the original online source will be provided. By choosing to follow such a link, You acknowledge and agree that You are leaving the App, and We shall bear no liability, obligation, or responsibility for any data breaches, damages, or other consequences arising from Your interaction with such third-party websites. You further acknowledge that Ticker Shorts functions solely as an intermediary and is not responsible for the accuracy, reliability, or completeness of summarized content available through the Platform.

  1. The Platform may include links to third-party mobile applications and/or websites, some of which may be automated search results, that may contain content that is unlawful, inaccurate, or otherwise objectionable. We do not endorse, support, or assume responsibility for the content, products, or services provided by these external links, which are offered solely for Your convenience. Accordingly, We disclaim any liability for the content or accuracy of such linked websites.
  2. To access the Platform, You are required to register as a User by providing certain prescribed information, which will be governed in accordance with Our Privacy Policy.
  3. You acknowledge and agree that certain Sponsored Content may be displayed within the Platform alongside other content.
  4. By using the App, You agree to comply with the following representations at all times:
    (a) Any information You provide is true, accurate, complete, and kept up to date;
    (b) You will use the content available on the Platform solely for personal, non-commercial purposes;
    (c) You will not use the Platform or its content for any unlawful, illegal, or prohibited purposes;
    (d) You will not copy, reproduce, alter, modify, create derivative works from, or publicly display any content available on the Platform; and
    (e) You will not transfer or assign any of Your rights under this Agreement to third parties.
  5. If You are a content provider and links to Your content are shared on the Platform, You agree to furnish any required information under applicable laws to the relevant government authorities. This may include, but is not limited to, details of Your registered user account on the Platform and any other information that may be lawfully requested.
  6. You acknowledge that We are not liable for the accuracy, validity, or authenticity of any information disclosed by You in response to obligations under applicable laws, including requests made by relevant government authorities.
  7. We reserve the right, at Our sole discretion and without prior notice, to discontinue, suspend, or modify the Platform (or any part thereof), whether temporarily or permanently, for any or all Users. Any continued use of the Platform following such modifications shall constitute Your deemed acceptance of the revised Terms and Agreement.
  1. YOUR AGREEMENT WITH TICKER SHORTS
  1. A violation of any provision of this Agreement may result in legal liability for You. Nothing in this Agreement shall be construed to confer any rights or benefits upon any third party. You are solely responsible for Your conduct and activities while using the Platform, as well as for any consequences arising therefrom.
  2. If any provision of this Agreement is found to be unenforceable under applicable law, such provision shall not affect the validity and enforceability of the remaining provisions. In such cases, the unenforceable provision shall be deemed replaced by a valid and enforceable provision that most closely reflects the intent of the original provision.
  3. Our decision not to act in response to a breach of this Agreement by You or any other User shall not be construed as a waiver of Our rights. Failure to exercise or enforce any provision of this Agreement does not prevent Us from taking appropriate action in response to subsequent similar breaches.
  4. USING THE APP/WEBSITE
  1. You may download and install the App from Google Play Store or the Apple App Store. To ensure continued access and optimal functionality, You must download and install all relevant updates and the latest versions of the App as provided by Us.
  2. You shall use the App and the Website only for purposes that are permitted by:
    (a) This Agreement; and
    (b) Any applicable laws, regulations, or generally accepted practices and guidelines in the jurisdiction of which You are a citizen, resident, or from where You access the Platform.
  3. For any content You create using the Platform, You grant Us a limited, non-exclusive, transferable, and assignable license to use such content in accordance with this Agreement, Our Privacy Policy, Content Regulation Policy, and any other applicable policies or agreements executed between You and Us. This license includes Our right to sub-license the content as necessary.
  4. Subject to Your compliance with this Agreement, Ticker Shorts grants You a limited, non-exclusive, non-transferable right to install and use the App on Your Android or iOS device. However, You shall not copy, reproduce, or modify the App or any of its components, except for the purpose of creating a single archival backup copy.
  5. Ticker Shorts also grants You a non-exclusive, non-transferable license to access content owned by Ticker Shorts on the App and the Website. However, for any content owned by a third party, You are required to obtain a separate license from the respective third party. Ticker Shorts does not license such third-party content to You, and Your use of such content is governed by the applicable terms and conditions prescribed by the respective third party.
  1. LINKS TO THIRD-PARTY SITES AND MATERIALS
  1. As part of the Services, We may provide You with links to third-party websites (“Third-Party Sites“) as well as content, software, or applications originating from third parties (“Third-Party Applications, Software, or Content“). These links are provided for Your convenience only.
  2. We do not have control over any Third-Party Sites, Third-Party Applications, Software, or Content, nor do We control the promotions, materials, information, goods, or services available on such third-party platforms. We do not investigate, monitor, or verify the accuracy, appropriateness, or completeness of any Third-Party Sites or Third-Party Applications, Software, or Content, and We disclaim any liability arising from Your use of or reliance on such third-party materials.
  3. The inclusion of, linking to, or permitting the use or installation of any Third-Party Site, Third-Party Application, Software, or Content does not constitute Our approval or endorsement. If You choose to leave the App or Website to access any Third-Party Sites or use/install any Third-Party Applications, Software, or Content, You do so at Your own risk.
  4. Upon navigating away from the Platform, Our Terms of Use, Privacy Policy, and other policies will no longer apply. You are encouraged to review the applicable terms, policies, and data collection practices of any Third-Party Sites or applications before proceeding with their use.
  1. RESTRICTIONS ON YOUR USE
  1. You agree and acknowledge that You shall not host, display, upload, modify, publish, transmit, update, or share any information that:
    (a) Belongs to another person and to which You have no rights;
    (b) Is defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy (including bodily privacy), insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, related to or encouraging money laundering or gambling, or otherwise contrary to applicable laws;
    (c) Is harmful to children;
    (d) Infringes any patent, trademark, copyright, or other proprietary rights;
    (e) Violates any law for the time being in force;
    (f) Deceives or misleads the recipient regarding the origin of the message or intentionally communicates false or misleading information that may reasonably be perceived as fact;
    (g) Impersonates another person;
    (h) Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, public order, or incites the commission of any cognizable offense, prevents the investigation of any offense, or is insulting to any other nation;
    (i) Contains software viruses or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer resource;
    (j) Is patently false and untrue, written or published with the intent to mislead or harass a person, entity, or agency for financial gain or to cause harm; or
    (k) Exposes the private area of an individual, depicts nudity or sexual conduct, or includes artificially morphed images intended to impersonate or misrepresent another individual in an electronic form.
  2. You shall not access (or attempt to access) content available on the Platform through any means other than the App or Website, unless expressly authorized in a separate written agreement with Ticker Shorts.
  3. You shall not redistribute, sublicense, rent, publish, sell, assign, lease, market, transfer, or otherwise make the App, Website, or any of its components or content available to third parties.
  4. You shall not circumvent, disable, or interfere with any digital rights management, usage rules, or other security features of the App or Website; remove, alter, or obscure any proprietary notices (including copyright notices); or use the App or Website in a manner that threatens its integrity, performance, or availability.
  5. You shall not engage in or attempt any activity that:
    (a) Reverse-engineers, decompiles, or extracts the source code of the App unless expressly permitted by Ticker Shorts or required by law;
    (b) Uses any automated system, including robots, spiders, or scrapers, to retrieve or index any portion of the App or its content;
    (c) Collects personal data from users of the App unlawfully;
    (d) Creates user accounts by automated means or under false or fraudulent pretenses;
    (e) Transmits viruses, worms, trojans, or any malicious code through the App;
    (f) Uses the App in a manner that could damage, disable, overburden, impair, or otherwise interfere with its proper functioning, servers, networks, or users;
    (g) Carries out any Denial-of-Service (DoS) or Distributed Denial-of-Service (DDoS) attacks or disrupts access to the Platform;
    (h) Manipulates identifiers, forges headers, or disguises the origin of any content transmitted through the Platform;
    (i) Attempts unauthorized access to the Platform or any part of it.
  6. You shall not impersonate another person, falsely state or misrepresent Your affiliation with any entity, or act on behalf of Ticker Shorts or any of its officials, employees, agents, partners, affiliates, dealers, or franchisees.
  7. Your permission to use the Platform is subject to the following additional restrictions:
    • You shall only use the Platform for personal, non-commercial purposes as permitted by its normal functionality.
    • You shall not collect or harvest personal data of any user.
    • You shall not use the Platform for business solicitation, trade, or any commercial enterprise without explicit written permission.
    • You shall not distribute any part of the Platform or its content without Our prior consent.
    • You shall not promote illegal activities, harass, abuse, or harm another person or group.
    • You shall not use another user’s account or allow another user to access Your account.
    • You shall not provide false or misleading information when registering an account.
    • You shall not interfere with the proper functioning of the Platform, nor take any action that imposes an unreasonable or disproportionately large load on Our servers or network infrastructure.
    • You shall not bypass, disable, or interfere with any security features of the Platform.
    • You shall not publish or link to malicious content intended to disrupt another user’s browser or device.
  8. TERMINATION
  1. Your access to the Platform may be terminated under the following circumstances:
    (a) If You voluntarily uninstall the App from Your device;
    (b) If You knowingly or unknowingly cause a direct or indirect breach of this Agreement, in whole or in part, or violate any applicable laws, as determined by Ticker Shorts;
    (c) If We are required to do so by law, including but not limited to situations where the access to or provision of the Platform becomes unlawful;
    (d) If any third party with whom We offered the Platform terminates its relationship with Us or ceases to provide related services to Us or to You;
    (e) If the provision of the Platform to You is no longer commercially viable or feasible for Us.
  2. Ticker Shorts reserves the right to terminate Your usage of the App at any time, with or without notice, and may disable Your access to the Platform and/or bar You from any future use of the Platform.
  3. You may terminate Your agreement with Ticker Shorts at any time by ceasing to use and accessing the Platform. However, certain obligations under this Agreement shall survive termination and continue to remain in effect.
  4. Upon termination of this Agreement, all legal rights, obligations, and liabilities that You and Ticker Shorts have benefited from or incurred in connection with this Agreement, or that are expressly intended to continue beyond termination, shall remain unaffected and continue to apply indefinitely.
  5. USER CONSENT TO RECEIVE COMMUNICATIONS
  1. For contractual purposes, You:
    (a) Consent to receive communications from Us in electronic form via SMS, voice call, email, WhatsApp, Telegram, or any other digital communication channel, using the phone number, email, or handle provided by You; and
    (b) Agree that all Terms of Use, agreements, notices, disclosures, disclaimers, and other communications provided electronically satisfy any legal requirement that such communications would fulfill if presented in writing. This does not affect Your non-waivable legal rights.
  2. We may also use Your email address to send You messages, including updates about the Platform, the Service, and special offers. You may opt out of such communications by adjusting Your account settings, using the “Unsubscribe” link in the message, or emailing contact@tickershorts.com.
  3. Opting out of promotional emails may prevent You from receiving important messages regarding the Platform, the Service, or special offers.
  1. INTELLECTUAL PROPERTY
  1. Your use of the Platform shall always be subject to laws governing copyright, trademark, patent, and trade secret ownership. You agree to comply with these laws and shall be solely responsible for any violations or infringements of intellectual property rights caused by Your use of the App or Website through Your device.
  2. Ticker Shorts owns and retains all intellectual property rights in the summarized content made available to You through the Platform but does not claim ownership of original sources of information, which remain the property of the respective websites to which the Platform may link.
  3. All trademarks, brands, and service marks associated with the Platform are the exclusive property of Ticker Shorts. Ticker Shorts owns all copyrights and database rights related to the Platform. The content available on the Platform, including but not limited to tests, reports, text, graphics, logos, icons, and images, is the exclusive property of Ticker Shorts or other respective owners who have granted Ticker Shorts the right to use such property, and is protected under Indian and international copyright laws.
  4. The Platform, including any underlying technology or software, may contain intellectual property rights belonging to Ticker Shorts, its affiliates, or third parties. For any use of third-party intellectual property, You must obtain direct permission from the respective owner.
  5. Any intellectual property not expressly stated as owned by Ticker Shorts belongs to its respective owners, who retain the right to take appropriate legal action against You for any violation, infringement, or misrepresentation.
  6. Ticker Shorts respects the intellectual property rights of others and shall not be held responsible for any violations committed by You.
  7. PRIVACY
  1. Our Privacy Policy explains how We collect, use, and protect Your personal data when You use the Platform. By using the Platform, You acknowledge and agree that We may process Your data in accordance with our Privacy Policy.
  2. You are responsible for maintaining the confidentiality of any passwords associated with Your device used to access the App. Any activity occurring through Your device shall be deemed to be Your responsibility. If You become aware of any unauthorized access or misuse of Your device, You must promptly notify the relevant authorities.
  3. LIMITATION OF LIABILITY AND INDEMNIFICATION
  1. Your use of the Platform and any content available on it is entirely at Your own risk. Ticker Shorts shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, monetary, or any other damages, including but not limited to fees, fines, penalties, or liabilities arising out of or related to Your use of the App.
  2. If You are not satisfied with the App or the Website, You may terminate Your access to the Platform at Your sole discretion.
  3. You agree to defend, indemnify, and hold harmless Ticker Shorts, its officers, directors, employees, representatives, and agents from and against any claims, actions, demands, liabilities, judgments, settlements, or legal fees arising from or alleged to arise from:
    (a) Your use of the Platform; or
    (b) Your breach of any applicable laws, rules, regulations, or orders.
  4. You are solely responsible for any breach of Your obligations under this Agreement and the consequences of such a breach.
  5. Limitation of Damages: Under no circumstances shall Ticker Shorts, its licensors, partners, or associated companies be liable for an amount exceeding the paid Subscription Fees. Further, Ticker Shorts shall not be liable for any special, incidental, consequential, or indirect damages, including but not limited to loss of goodwill, business profits, work stoppage, data loss, computer failure, or punitive damages.
  6. The maximum liability of Ticker Shorts towards any customer shall not exceed the amount of the Subscription Fee, excluding renewal/subscription fees collected over the years. Ticker Shorts shall have no liability if any loss is suffered by the user due to reasons beyond the company’s control. The risk of using the Service shall be solely borne by the user.
  7. Each provision of this Limitation of Liability and Indemnification clause, including disclaimers of warranties and exclusions of damages, is severable and independent of any other provision and shall be enforced accordingly.
  8. This Limitation of Liability and Indemnification clause shall survive the termination of this Agreement.
  1. NO WARRANTIES

Ticker Shorts shall make its best efforts to provide the Platform in an optimal manner. However, the Platform is provided on an “as is” and “as available” basis, and all warranties, whether express or implied, are expressly disclaimed, including but not limited to:

(a) the continuous availability or availability of the Platform at all times;
(b) the successful execution of installation or uninstallation choices in all cases;
(c) uninterrupted, delay-free, and error-free operation of the Platform;
(d) Your ability to use the Platform without issues;
(e) Your satisfaction with the Platform;
(f) the accuracy of data provided by the Platform;
(g) the security and privacy of Your data;
(h) correction of all bugs or errors;
(i) compatibility of the Platform with all devices and networks;
(j) fitness of the Platform for a particular purpose or use; and
(k) accessibility of the Platform and its contents in every location.

Ticker Shorts, its officers, directors, employees, affiliates, agents, and any other service providers responsible for providing access to the Platform shall not be liable for any acts or omissions, including those of third parties such as vendors participating in Ticker Shorts’ offerings. Ticker Shorts is not responsible for unauthorized interception of data, security breaches attributable to third parties, damages associated with third-party equipment, or issues arising from third-party operating systems, facilities, or services interconnected with the Platform.

WARRANTY DISCLAIMER

Ticker Shorts disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, except where such warranties cannot be validly waived under applicable law.

PERFORMANCE WARRANTY

Ticker Shorts makes no representations or warranties that the software will operate uninterrupted or error-free, that it will be free from minor defects that do not materially affect performance, or that its applications will meet all user business, regulatory, or legal requirements.

INFORMATION WARRANTY

Ticker Shorts does not guarantee the accuracy, completeness, or timeliness of, nor does it endorse, the views, opinions, or recommendations expressed in any information made available on the Platform. Certain features may rely on proprietary financial data sources, including but not limited to stock market data, equities, derivatives, IPOs, commodities, currencies, mutual funds, corporate announcements, news, and historical, real-time, and end-of-day market information. These features are implemented on a best-effort basis, and the accuracy, completeness, or timeliness of such data is not guaranteed.

The information provided on the Platform does not constitute investment, tax, legal, or financial advice, nor does it advocate the purchase or sale of any security or investment. It does not constitute a solicitation by Ticker Shorts or any information provider for the purchase or sale of securities.

  1. NOTICES
  1. Ticker Shorts may provide notices to You through postings within the Platform, via email to Your registered email address, or through messages sent to Your registered telephone number.
  2. You shall be deemed to have received such notices within three (3) days from the date of transmission.
  3. Your continued use of the Platform beyond this three-day period shall constitute Your acknowledgment, receipt, and acceptance of the notices sent to You.
  4. DISCLAIMER
  1. The content available on the Platform may contain technical inaccuracies or typographical errors. Ticker Shorts reserves the right to modify, update, or improve the Platform at any time. All content and information provided through the Platform are made available on an “as is” and “as available” basis, without any warranties, whether express or implied, to the fullest extent permitted by applicable law.
  2. Ticker Shorts does not warrant that:
    (a) the functions and content on the Platform will be uninterrupted or error-free;
    (b) any defects will be corrected; or
    (c) the servers hosting the Platform are free from viruses or harmful components.
  3. Ticker Shorts does not commit to updating the materials available on the Platform. The above disclaimers may not apply to You if applicable law does not allow the exclusion of implied warranties.
  4. Ticker Shorts shall not be liable for any misuse, unauthorized access, or data theft resulting from Your use of the Platform.
  5. YOU EXPRESSLY REPRESENT AND WARRANT THAT YOU WILL NOT USE THE PLATFORM IF YOU DO NOT UNDERSTAND, AGREE TO, AND ABIDE BY ALL TERMS OF THIS AGREEMENT. ANY VIOLATION OF THIS AGREEMENT MAY RESULT IN LEGAL LIABILITY UPON YOU. Nothing in this Agreement shall be construed to confer any rights upon any third party.
  6. Any correspondence, business dealings, or participation in promotions involving Sponsored Content or third-party service providers through the Platform—including payments, product deliveries, or service agreements—shall be solely between You and the respective third-party provider. Ticker Shorts shall not be liable for any loss or damage arising from such dealings or the presence of Sponsored Content on the Platform.
  7. FRAUDULENT ACTIVITY
  1. We strongly discourage You from availing any services, including promotional offers and discounts, from individuals or entities that falsely claim to be representatives, partners, or affiliates of Ticker Shorts (hereinafter referred to as “Fraudulent Actors”). Such activities are neither endorsed nor permitted by the Company, and engaging with these Fraudulent Actors exposes You to a significant risk of fraud.
  2. Ticker Shorts shall not be responsible for any transactions, agreements, or engagements You enter into with such Fraudulent Actors. We disclaim any liability for any charges, payments, or losses incurred by You as a result of dealing with them.
  3. GENERAL TERMS
  1. Your use of the Service, including any content, information, or functionality contained within it, is provided “as is” and “as available” with no representations or warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for Your use of the Service.
  2. Ticker Shorts makes no warranties regarding:
    (i) Your ability to use the Service;
    (ii) Your satisfaction with the Service;
    (iii) The availability, uninterrupted functionality, or error-free operation of the Service;
    (iv) The accuracy of analytics performed by the Service; and
    (v) The correction of any bugs or errors in the Service.
  3. Ticker Shorts, its partners, agents, affiliates, and sponsors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or related to Your use of the Service, regardless of whether You are a user of the free or paid version. Your sole remedy for dissatisfaction with the Service is to discontinue its use.
  4. Failure of Ticker Shorts to exercise any of its rights under these Terms shall not be deemed a waiver unless expressly provided in writing. This latest version of the Terms of Service constitutes the entire understanding between You and Ticker Shorts.
  5. The Company shall not be responsible for any business loss suffered by a customer for any reason, including but not limited to software failure, delays in implementation, or technical support.
  6. Ticker Shorts may assign or delegate these Terms of Service and/or the Privacy Policy, in whole or in part, to any person or entity at any time with or without Your consent. You may not assign or delegate any rights or obligations under these Terms of Service or Privacy Policy without prior written consent from Ticker Shorts, and any unauthorized assignment or delegation shall be deemed void.
  7. YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF SERVICE. FURTHER, YOU AGREE THAT THESE TERMS, ALONG WITH THE PRIVACY POLICY, CONSTITUTE THE COMPLETE AND EXCLUSIVE AGREEMENT BETWEEN YOU AND TICKER SHORTS, SUPERSEDING ANY PRIOR PROPOSALS, AGREEMENTS, OR COMMUNICATIONS, WHETHER ORAL OR WRITTEN, RELATED TO THE SUBJECT MATTER HEREOF.
  8. MODIFICATION OF TERMS OF USE
  1. Ticker Shorts reserves the right to amend these Terms of Use at any time. In the event of such amendments, the updated Terms of Use will be posted on the Platform.
  2. It is Your sole responsibility to review the Platform periodically for any changes to this Agreement. Your continued use of the Platform or Services after any amendments constitutes Your acceptance of the revised Terms of Use.
  3. We will endeavor to notify You of material changes to these Terms by:
    (i) Posting a notice on our homepage; and/or
    (ii) Sending an email to the registered email address provided by You.
  4. To ensure You receive such notifications, You are responsible for keeping Your contact and profile information up to date.
  1. DISPUTE RESOLUTION
  1. Internal Resolution Requirement: Before initiating any formal dispute resolution proceedings, You agree to first attempt to resolve the Dispute by writing to Us and all persons representing Ticker Shorts at the designated contact details provided on the Platform. You shall provide a detailed description of the Dispute and allow Ticker Shorts a reasonable period of 90 (Ninety) days to respond and resolve the issue. Failure to exhaust this internal resolution process shall result in You having no right to approach any court of law or any authority or Mediation or Arbitration Center for dispute resolution.
  2. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its construction, interpretation, scope, operation, effect, or validity (“Dispute”), shall first be attempted to be resolved through mediation. The mediation shall be administered by an independent mediation institution, mediation center, or an online dispute resolution platform, as selected by Ticker Shorts (“Us”), in accordance with its applicable dispute resolution rules.
  3. If the Dispute is not resolved through mediation within three (3) months from the commencement of the mediation process, either Party shall be free to seek legal recourse. All such disputes shall be subject to the exclusive jurisdiction of the courts in Madhya Pradesh, India.
  4. You agree that you shall bear all legal expenses and any other costs incurred by both yourself and Ticker Shorts in the process of resolving the Dispute, whether through mediation or judicial proceedings. You further agree that you shall not claim reimbursement of any legal expenses or other costs borne by you from Ticker Shorts at any stage of the dispute resolution process.
